MEMBERSHIP AGREEMENT

The web pages on our site and all connected pages (‘site’) belong to and are operated by Becom Gıda Sanayi İç ve Dış Ticaret Limited, located at www.becomgida.com (‘Company’). You (‘User’) agree that while using all services offered on the site, you are subject to the following terms, by benefiting from and continuing to use the services on the site; you are over 18 years old, have the right, authority, and legal capacity to enter into a contract according to applicable laws, and you have read, understood, and accepted the terms stated in this agreement.
This agreement is indefinite and imposes rights and obligations related to the subject site upon the parties. The parties declare and undertake that, upon accepting/approving this agreement online or in writing, they will fulfill these rights and obligations fully, correctly, and timely, as required by this agreement's conditions.
1. RESPONSIBILITIES
The Company reserves the right to make changes to prices and the products and services offered at any time.
The Company accepts and undertakes that the member will benefit from the contractually provided services except in cases of technical faults.
The User agrees not to perform reverse engineering of the site or any other process aiming to find or obtain its source code, otherwise, and for damages arising before third parties, is responsible and consents to legal and criminal proceedings.
The User accepts that they are solely responsible for any damages they may suffer due to incomplete or incorrect information provided during site membership registration; in case of misinformation or breach of this agreement by the Member, the Company may unilaterally terminate the membership without any notification or warning.
Information such as the internet service provider's name and Internet Protocol (IP) address used to access the site, date and time of access, pages accessed during the session, and the web address from which the site is directly accessed may be collected by the Company for site improvement, development, and legal compliance. The User accepts the collection of this information.
The User agrees not to produce or share content on any part of the site or communications that is immoral, illegal, harms third parties’ rights, misleading, offensive, obscene, pornographic, violating personal rights, infringing copyrights, or promoting illegal activities. Otherwise, the User is wholly responsible for any resulting damages. In such cases, 'Site' authorities reserve the right to suspend, terminate such accounts, and initiate legal action. They also reserve the right to disclose information related to events or user accounts to judicial authorities if requested.
Relationships between site members or with third parties are the members’ own responsibility.
2. INTELLECTUAL PROPERTY RIGHTS
2.1. All registered or unregistered intellectual property rights such as titles, business names, trademarks, patents, logos, designs, information, and methods on this Site belong to and are protected by national and international law under the site operator and owner company or its designated party. Visiting this Site or utilizing the services does not grant any rights regarding these intellectual property rights.

3.2. The User consents and declares approval for the Company's sharing of their contact, portfolio status, and demographic information with its affiliates or group companies limited to marketing activities such as promotion, advertisement, campaigns, newsletters, and other announcements, receiving electronic communications for the same purposes. This personal data may be used within the Company to identify customer profiles, offer promotions suitable for profiles, and conduct statistical analyses.
3.3. The User has the right to cancel the consent given under this agreement without giving any reason. The Company shall promptly process the cancellation and cease sending electronic communications to the User within 3 (three) business days.
3.4. Confidential Information may only be disclosed to official authorities when properly requested according to procedures, or when required by mandatory applicable legislation.
4. NO WARRANTY:
THIS CLAUSE APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SERVICES PROVIDED BY THE COMPANY ARE OFFERED "AS IS" AND "AS AVAILABLE," AND THE COMPANY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT IN RELATION TO THE SERVICES OR APPLICATIONS (INCLUDING ALL INFORMATION CONTAINED THEREIN).
5. REGISTRATION AND SECURITY
The User must provide accurate, complete, and up-to-date registration information. Otherwise, this Agreement shall be considered violated and the User's account may be closed without notification.
The User is responsible for password and account security on the site and third-party sites. The Company shall not be held liable for data loss, security breaches, or damage to hardware and devices resulting from negligence.
6. FORCE MAJEURE
If due to reasons beyond the Parties' control—such as natural disasters, fires, explosions, civil wars, wars, rebellions, popular movements, military mobilizations, strikes, lockouts, pandemics, infrastructure and internet failures, power outages (hereinafter collectively referred to as "Force Majeure")—the obligations arising from this agreement cannot be fulfilled, the parties shall not be held responsible. During this period, the rights and obligations of the Parties under this Agreement shall be suspended.
7. ENTIRE AGREEMENT AND ENFORCEABILITY
If any provision of this agreement becomes partially or entirely invalid, the remainder of the agreement shall continue to be effective.
8. AMENDMENTS TO THE AGREEMENT
The Company may partially or entirely change the services offered on the site and the terms of this agreement at any time. Amendments shall be effective from the date they are published on the site. It is the User's responsibility to follow the changes. By continuing to use the services provided, the User is deemed to accept the changes.
9. NOTIFICATIONS
All notifications related to this Agreement shall be sent via the Company's known email address and the email address provided by the User in the membership form. The User accepts that the address given at registration is the valid notification address and agrees to notify the other party in writing within 5 days in case of change; otherwise, notifications sent to this address will be considered valid.
10. EVIDENCE AGREEMENT
In any disputes related to this agreement between the parties, the parties' books, records, documents, computer records, and fax records shall be accepted as evidence pursuant to the Code of Civil Procedure numbered 6100. The User agrees not to object to these records.
11. DISPUTE RESOLUTION
The Courts and Enforcement Offices of Istanbul (Central) shall have jurisdiction over any disputes arising from the implementation or interpretation of this Agreement.
